These Terms of Use for the Link My Books MCP access feature (the “MCP Terms”) govern your use of the Link My Books MCP Server. By approving a connection to the MCP Server, you (the “Customer”) acknowledge and accept these MCP Terms. The MCP Server provides machine-readable, read-only access to your own Link My Books account data via the Link My Books API through the Model Context Protocol (MCP). “Link My Books”, “we” or “us” means PDLC Tech Ltd.
The MCP Server is currently provided as a beta feature (the “Beta”).The Beta is made available for evaluation and feedback purposes and has not yet reached general availability. By accepting these MCP Terms you acknowledge andagree that:
• Pre-release status. The Beta may contain defects, errors and instabilities. We do not warrant that the Beta will operate uninterrupted or error-free, and any service-level or uptime commitments set out elsewhere are expressly excluded for the Beta period.
• Subject to change. We may, at any time and without prior notice, modify, limit, suspend or permanently discontinue the Beta or any feature of it. Functionality available during the Beta may change, be removed, or become subject to additional terms or pricing on general availability.
• Limitation of liability. Without prejudice to the limitations of liability in the Terms of Service, we shall not be liablefor any loss, damage, data corruption or other harm arising from your use of,or inability to use, the Beta. Use of the Beta is at your own risk.
• Transition to general availability. When the MCP Server reaches general availability, updated terms may apply and you will be notified of material changes in accordance with the Terms of Service.
• Feedback. Any feedback, suggestions or defect reports you submit in connection with the Beta may be used by us for any purpose without restriction or compensation. You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate such feedback. We will handle any Customer Data or Confidential Information contained infeedback in accordance with the Terms of Service and Terms of Data Processing.
Licence Agreement: the binding agreement between you and PDLC Tech Ltd, comprising the Link My Books Terms of Service and the Terms of Data Processing.
MCP Terms: these Terms of Use for the MCP Server, which form a supplement to and are incorporated into the Licence Agreement.
MCP Server: the Link My Books interface that exposes your Link My Books account data to an MCP Client via the Model Context Protocol, on aread-only basis.
MCP Client: the application, platform or tool that you connect tothe MCP Server (for example an AI assistant application, a development environment, or a custom-built integration).
AI Agent: an automated AI-driven system operating within or via an MCP Client that is capable of sending requests to, and receiving data from, the MCP Server.
AI Service: a third-party AI model provider, large language model platform, or agent orchestration service to which you transmit data retrieved via the MCP Server.
Access Token: the scoped, time-limited, read-only credential issued to you (or to an MCP Client on your authorisation) that permits access to your own account data via the MCP Server.
Confidential Information: means any information disclosed by or onbehalf of one party to the other in connection with these MCP Terms or your useof the MCP Server, that (i) is marked or identified as confidential orproprietary, or (ii) should reasonably be understood to be confidential, proprietary or competitively sensitive by reason of its nature or the circumstances of its disclosure. Confidential Information includes, without limitation, all Access Tokens, API credentials and other authentication material issued in connection with the MCP Server, and any non-public information relating to the Link My Books API, the MCP Server, or their interfaces, endpoints, protocols or security architecture.
1. Incorporation into the Licence Agreement
These MCP Terms form an integral part of, and are hereby incorporated into, the Licence Agreement with immediate effect upon acceptance. In the event of a conflict between these MCP Terms and the Licence Agreement, these MCP Terms shall prevail unless otherwise expressly stated herein. Capitalised terms not defined in these MCP Terms have the meanings given in the Terms of Service or Terms of Data Processing.
2. Scope of the MCP Server— read-only access
The MCP Server provides read-only access to your own Link My Books account data. It does not permit an MCP Client or AI Agent to create, modify or delete data in Link My Books. The data made available through the MCP Server comprises your own account financial information (such as settlement figures, identifiers, mapping data, SKUs, and tax and account codes).
The MCP Server is designed to minimise the personal data made available through this channel: fields capable of carrying an individual’s identity or asecret are removed or pseudonymised at source before data leaves the MCP Server. You acknowledge that pseudonymised data may remain personal data under applicable data protection law, and the allocation of responsibility in these MCP Terms applies in full to all data retrieved via the MCP Server.
3. Data responsibility atthe API boundary
Once data is returned from the Link My Books API to the MCP Client, full responsibility for the safekeeping, handling and storage of that data transfers to you. We are not liable for any data loss, leakage or misuse that occurs outside the API boundary. You are responsible for ensuring that data retrieved via the MCP Server is handled in compliance with all applicable laws, including data protection legislation.
4. Your choice of AI Service and third-party processing
Where you choose to transmit data received via the MCP Server to an AI Service or other processing provider, that transmission and any subsequent processing is exclusively governed by the agreement between you and the relevant third-party provider. We are not a party to any such agreement and assume no responsibility or liability for how any third-party provider handles, stores, processes, retains or trains on your data. You are responsible for ensuring that any such provider offers an adequate level of data protection andthat the transfer complies with applicable law, including the UK GDPR where Personal Data is involved.
5. Client usage and no warranty on client behaviour
We do not control, endorse or assume responsibility for how any MCP Client or its AI Agents use, interpret or act on data received via the MCP Server. You are solely responsible for ensuring that the MCP Client and its AI Agents operate in compliance with applicable laws and your own data policies, including internal access controls and data-governance requirements.
The MCP Server provides data access only. We make no representations or warranties, express or implied, regarding the correctness, safety, fitness for purpose or appropriateness of any actions taken by MCP Clients or AI Agents connected through this interface. The MCP Server is provided on an “as is” basis.
6. Risk of data exfiltration
You shall not use the MCP Server alongside other MCP servers or tools that you do not fully trust. A malicious or compromised MCP server or tool running in the same client session may be able to access, read or exfiltrate data returned by the MCP Server. You are solely responsible for ensuring that all MCP servers and tools connected to your client environment are from trustworthy sources and have been subject to appropriate security review.
7. Access Tokens, security and revocation
Access to the MCP Server is authorised by a scoped, read-only,time-limited Access Token issued via your login. The AI Service never receives your password. You are responsible for safeguarding any Access Token issued andfor the acts and omissions of any MCP Client or AI Agent you authorise to use that token.
You may revoke access at any time by disconnecting the MCP Server from the MCP Client, by revoking the relevant Access Token from within your Link My Books account settings, or by such other revocation mechanism as we may make available from time to time. You are responsible for promptly revoking access where an MCP Client or AI Service is no longer in use, has been compromised, or where you no longer wish to grant access. We may revoke or suspend an Access Token where necessary to protect the security or integrity of the Service.
8. Data processing —instruction under UK GDPR Article 28
By connecting to the Link My Books API via the MCP Server, you issue a documented instruction to us, within the meaning of Article 28 of the UK GDPR and the Terms of Data Processing, to make the relevant Customer Data available via the API for the purpose of enabling and operating the MCP connection. This instruction is subject to and governed by the Terms of Data Processing in its entirety. To the extent any Personal Data is accessed or transmitted via the MCP Server, you remain the Controller for all such Personal Data, and you are responsible for ensuring that any onward transfer of that Personal Data — in particular to an AI Service — complies with the UK GDPR and any other applicable data protection legislation.
For the avoidance of doubt, any third-party provider that you connect tothe MCP Server — including any AI Service — acts as a Processor or Sub-processor of yours, and not of Link My Books. Such providers process Customer Data on your own instructions and do not form part of Link My Books’ sub-processor chain.
This allocation applies only where the transfer to an AI Service isinitiated by you. Where Link My Books itself engages an AI provider and the outbound call to that provider originates from the Link My Books side, that provider acts as a Sub-processor of Link My Books and will be added to Link My Books’ sub-processor list, subject to the notification and objection procedurein the Terms of Data Processing.
9. Confidentiality
Your confidentiality obligations set out in the Terms of Service apply in full to your use of the MCP Server. Without limitation to those obligations, you shall not disclose Confidential Information to any third party, including any MCP Client or AI Service provider, except to the extent strictly necessary to enable your permitted use of the MCP Server under the Licence Agreement and these MCP Terms, or as required by applicable law or regulation. You shall take reasonable measures to protect Confidential Information.
The confidentiality obligations set out in this clause lapse three (3) years after the expiry or termination of the Licence Agreement, unless otherwise stipulated by law or regulation.
10. Reservation of rights
Connecting to Link My Books via the MCP Server confers no exclusivity on you. We retain the full and unrestricted right to develop, offer or commercialise solutions, features or products similar to or competitive with any integration or solution you may develop using the MCP Server, consistent with the Licence Agreement, under which we retain all intellectual property rights in and to the Service and its APIs.
11. Term
These MCP Terms apply for as long as you use the MCP Server and, in respect of the confidentiality obligations, for the period specified in clause 9 following termination. Your use of the MCP Server may be terminated in accordance with the Licence Agreement, and the MCP Server may be withdrawn asset out in the Beta notice above.
12. Governing law
These MCP Terms are governed by the laws of England and Wales, consistent with the Terms of Service and the Terms of Data Processing.
